Terms of Service

These terms are an agreement between Cloudswired Technologies (Johor, Malaysia), which operates SkillPass ("we"), and the training provider that creates a SkillPass account ("you"). By creating an account or using SkillPass you accept these terms.
1. The service
SkillPass gives you a registration site for your programmes, a dashboard to manage sessions, registrations, payments, attendance and certificates, and a public page where anyone can check that a certificate you issued is genuine.
We may improve or change features over time. If a change removes something you rely on, we will tell you in advance where we reasonably can.
2. Your account
You must give accurate details and keep your login secure. You are responsible for what happens under your account and for the staff you invite to it.
You must be authorised to act for the organisation named on your site.
3. Payments from participants
Online payments from your participants go directly to your own payment gateway account (CHIP). We never hold your participants' money. Your agreement with the gateway, including its fees, is between you and the gateway.
You are responsible for your prices, refunds, receipts and tax obligations towards your participants. SkillPass numbers and formats receipts for you, but the content is yours.
4. Subscription fees
New accounts start with a free trial. After the trial, continued use needs a paid plan. Plan prices are shown in your dashboard; the price you subscribe at stays fixed for that subscription.
Invoices are payable by the due date. If a payment is overdue, we will remind you and allow a grace period. After that, new registrations on your site are paused until the account is paid. Your data, your dashboard (read only) and certificate verification stay available.
Fees already paid are not refundable, except where the law requires otherwise.
5. Your content and your participants' data
You own the content you put on SkillPass and the personal data of your participants. For that data you are the data user under the Personal Data Protection Act 2010 (PDPA), and we process it on your behalf and only on your instructions, as described in our Privacy Notice.
You must have a lawful basis to collect what your registration forms ask for, show participants a privacy notice (SkillPass provides one you can edit), and only collect what you need.
You can export your data at any time from your dashboard.
6. Certificates and verification
Certificates are issued by you, in your name. You are responsible for the accuracy of what they state and for revoking any certificate issued in error.
Verification of certificates you issued stays available even if your subscription ends, so that holders can keep proving their training. We keep only the minimum data needed for that.
7. Acceptable use
Do not use SkillPass to break the law, mislead participants, issue false certificates, send spam, upload malware, or try to access other providers' data or our systems without permission.
We may suspend an account that puts participants, other providers or the service at risk, and will tell you why unless the law prevents us.
8. Availability and liability
We work to keep SkillPass available and your data backed up, but the service is provided as is, without a guarantee that it will be uninterrupted or error free.
To the extent the law allows, we are not liable for indirect or consequential loss, lost profits or lost revenue, and our total liability in any 12 months is limited to the subscription fees you paid us in that period.
9. Ending the agreement
You can stop using SkillPass at any time. We can end the agreement with 30 days' notice, or immediately for a serious breach of these terms.
When the agreement ends, your site stops taking registrations. You can export your data for 90 days; after that we may delete it, except the minimum certificate records kept for verification.
10. Changes and governing law
We may update these terms. We will notify you of material changes at least 14 days before they apply.
